Terms of Service

  1. Price Cap Guarantee                                                                                                                                                                                                         The price cap guarantee is only valid for features and, or services that are billed at an hourly rate and are outlined in the project’s invoice and contract. 

  2. International Client Billing                                                                                                                                                                                                 A note to our international clients: All pricing quotes, invoices are listed in U.S Dollars (USD). It is the responsibility of the client to accurately convert the listed amount to their native currency via the most current exchange rate if need be.

  3. Website and Web application Technical Support                                                                                                                                                If you purchase website hosting for your website from D-Point Solutions LLC, it includes technical support in case any unexpected technical issues from the website arise. Website malfunctions or issues that arise as a direct or indirect result of client user error are not covered by this support. For issues that arise as a direct or indirect result of client user error, the client must use their website maintenance and management plan or purchase one if they do not currently have one.   4. Website Maintenance and Management Plans                                                                                                                                         Please note, both monthly and yearly Maintenance and Management subscription plans renew automatically at the end of each cycle. If you wish to cancel your plan, you must contact us at least 3 business days before your plan is set to renew.                                                                           

    1. Monthly Subscriptions                                                                                                                                                                                          Hours for maintenance plans on a monthly subscription basis do not roll over from month to month. If a client has leftover hours at the end of their monthly cycle, those hours will expire and the hours will reset for the next monthly subscription cycle. Please be aware that some monthly subscription plans may have varying commitment time frames. Monthly maintenance plans with an attached commitment period cannot be canceled before the end of the commitment period.

    2. Yearly Subscriptions                                                                                                                                                                                                     For clients on a yearly subscription basis, the client is credited all their hours upfront and may use them however they wish throughout the year. Any hours left over at the end of the yearly subscription cycle will expire and the hours will reset for the next yearly subscription cycle. Please note, if any amount of hours of a client’s yearly subscription plan is used, it is no longer eligible for a refund.

  5. Changes to our Terms of Service                                                                                                                                                                                  D-Point Solutions LLC reserves the right to make edits or changes to our Terms of Service at any time without direct notice to current or former clientele.   6. Liability                                                                                                                                                                                                                                         D-Point Solutions LLC may not be held liable for any damages to the client or any subsequent parties due to external factors and, or forces. This includes but is not limited to; cyber attacks, unexpected system crashes, data breaches, and unprecedented platform errors and, or failures. While D-Point Solutions LLC will certainly employ and utilize as many of its resources as possible to assist in fixing and, or investigating the situation to the best of its capabilities, the client or any subsequent parties may not hold D-Point Solutions LLC accountable. By paying any invoice and, or signing any contract from D-Point Solutions LLC, the client agrees to these terms of service. 

  7. Project Placeholder Deposits                                                                                                                                                                                           If a client would like to schedule their project in advance with D-Point Solutions LLC, and would like that time set to be guaranteed to the client, the client will be assessed a Placeholder deposit fee. This fee will count as a credit towards the client’s project. However, in the event that the client decides to cancel their project, this fee will not be refundable.

  8. Prohibited industries                                                                                                                                                                                                           D-Point Solutions LLC reserves the right to not work with any companies, or individuals who operate in the following industries:  controlled substances (This includes both legal and recreational cannabis, as well as CBD), adult films/products, pyramid schemes/MLM, weapons, ammunition, military arms, explosive devices, firearm parts, betting and gambling, Chain letters, Escort agencies/massage parlors/sexual services, Fake references and other services or products that foster deception, sale of endangered or threatened species, and any other industry that D-Point Solutions LLC feels that is unethical, illegal, and, or mischievous. If it is discovered that the client operates in these industries after invoices have been paid and contracts have been signed, D-Point Solutions LLC reserves the right to immediately sever all relations and obligations with the client without any refunds or compensation. 

  9. Ethical and Moral Obligations                                                                                                                                                                                       D-Point Solutions LLC has, and always will operate with ethical and moral standards. If any prospective, current, and, or former client of D-Point Solitions LLC is found to be spreading hate, and, or destructive conspiracy theories or involved in discrimination, harassment, and or abuse of any kind and on any scale, D-Point Solutions LLC reserves the right to immediately sever all relations and obligations with the client without any refunds or compensation. D-Point Solutions LLC also reserves the right to refuse service to clients who support and, or contribute to hate or destructive conspiracy groups of any kind as well as organization who are known to support hate or destructive conspiracy groups. If a current client of D-Point Solutions LLC is found to be involved in the activities listed in this clause, D-Point Solutions LLC reserves the right to immediately sever all relations and obligations with the client without any refunds or compensation.  

  10. Governing Law / Forum                                                                                                                                                                                                     This terms of service is to be construed in accordance with the internal laws of the State of Illinois, without regard to conflict of laws rules. If any legal dispute is to arise between D-Point Solutions LLC and any client, venue shall be in a court of competent jurisdiction in the State of Illinois, and both parties expressly consent to jurisdiction in such courts.

  11. Agreement                                                                                                                                                                                                                                      By signing any contract and, or making any payment to D-Point Solutions LLC, clients of D-Point Solutions LLC agree to all clauses listed in these here terms of service.
